Terms of Sale - Ring Me Up

1. Purpose

These Terms of Sale (the "Terms") govern the subscription to and use of the Ring Me Up service (the "Service"), published by ODY-CD, a simplified joint-stock company with sole shareholder (SASU) with share capital of €1,000, registered with the RCS under number SIREN 880 337 720, whose registered office is located at 64 Rue des Malassis. They supplement the Terms of Use and the Privacy Policy available on the website.

2. Scope

The Terms apply to every subscription to the Service by a user, whether acting as a consumer or a professional, regardless of location. Access to the Service implies full acceptance of these Terms.

3. Service Description

Ring Me Up offers a subscription that grants access to a platform for creating, publishing, and managing event websites (notably weddings). The available features are described on the site and may evolve. The subscription covers the standard services; any optional add-ons are detailed in the current offer.

4. Account Creation

Access to the Service requires a user account. The user agrees to provide accurate and up-to-date information and to keep credentials confidential. Creating multiple accounts to unduly extend the free trial period is prohibited.

5. Subscription Process

  1. The user creates or signs in to their Ring Me Up account.
  2. They select the desired subscription plan and accept these Terms.
  3. Payment is processed via Stripe (secure payment platform).
  4. Once payment is confirmed or the free trial is activated, the user is redirected to their dashboard with the corresponding features and receives a confirmation email.

6. Pricing and Payment

Prices are displayed in euros (VAT included) on a monthly basis.

Payments are made exclusively by credit card via Stripe.

Charges occur at subscription, or, when a free trial is granted, at the end of the 14-day trial, then automatically at each monthly renewal.

Ring Me Up reserves the right to adjust its pricing, with prior notice provided before renewal.

7. Free Trial and Withdrawal

A 14-day free trial is offered. During this period, the user may cancel at any time without cost.

In accordance with Article L221-28 of the French Consumer Code, no withdrawal is possible after the free trial once the digital service has been fully delivered with the user's explicit consent.

8. Term, Renewal, and Cancellation

Subscriptions are monthly and automatically renewed.

The user may cancel at any time through the Stripe customer portal linked to Ring Me Up. Cancellation takes effect at the end of the current billing period.

Ring Me Up reserves the right to suspend or terminate the subscription in the event of non-payment, fraud, or breach of the Terms or Terms of Use (including abusive account creation).

9. Service Availability

Access to the Service is immediate once the subscription is confirmed (or after validation of the free trial). The user receives an email and can start using the Service right away.

10. Support and Assistance

Online support is available at contact@mirehub.fr . Requests are handled within a reasonable timeframe based on their nature. No explicit service level agreement (SLA) is provided, but Ring Me Up makes best efforts to keep the Service available.

11. Use of the Service

The user agrees in particular to:

  • not create multiple accounts to unduly extend the free trial;
  • not publish unlawful, offensive, or third-party infringing content;
  • comply with the Terms of Use and with all applicable laws (intellectual property, privacy, etc.).

Ring Me Up reserves the right to suspend or delete any content or account in the event of a breach.

12. Intellectual Property and Content

The elements that make up the Service (software, databases, design, logos, etc.) remain the property of ODY-CD or its licensors. The user retains ownership of the content they upload (photos, text, etc.) and grants ODY-CD a non-exclusive worldwide license to host this content for the duration of the service. The user warrants that they hold all rights necessary for the content published.

13. Personal Data

Data collected are used to manage the account, billing, and support, and are not used for marketing campaigns without explicit consent.

14. Promotions and Changes

Ring Me Up may occasionally offer discounts, promotional offers, or promo codes. The conditions (duration, requirements) are specified for each campaign.

The Publisher may update the Service and notify users in the event of significant changes to the Terms or the plans.

15. Liability

ODY-CD is liable only for direct, proven damages resulting from breach of its contractual obligations.

The Publisher disclaims liability in the following cases:

  • temporary unavailability of the Service;
  • loss of content attributable to the user;
  • use of the Service contrary to these Terms.

Use of the Service remains under the user's responsibility.

16. Force Majeure

Ring Me Up cannot be held liable when non-performance results from a force majeure event as defined under French case law (major outages, natural disasters, governmental decisions, etc.).

17. Mediation

If no satisfactory response is received, the consumer may contact the consumer mediator to whom ODY-CD is subject:

18. Governing Law and Jurisdiction

These Terms are governed by French law. In the absence of an amicable resolution, any dispute shall be brought before the competent courts for ODY-CD's registered office, subject to consumer protection provisions.

19. Language

The Terms are available in the languages supported by the site (French, English, Spanish, etc.). In case of inconsistency, the French version prevails.

20. Miscellaneous

If any clause is held invalid or unenforceable, the remaining provisions remain in force. Ring Me Up may assign the Service or delegate its obligations to a third party, subject to informing users.
